Direct Hire Placement — Client Terms of Service

These terms govern direct hire placement services between Ommpo Healthcare (“OHC”) and the hiring organization (“Client”). They’re written to be clear and fair — the specific commercial terms of any engagement are confirmed in your individual placement agreement.

The short version

You only pay when you hire an OHC Candidate.
Fees are reviewed and confirmed before any search.
Payment is due on the Candidate’s start date (Net 7/10).
60-day replacement guarantee on eligible placements.
No refunds — replacement support only.
Candidate ownership runs 12 months from presentation.

This summary is for convenience only. The numbered terms below, together with your signed placement agreement, are what govern the engagement.

The direct hire model

Under a direct hire placement, OHC recruits, screens, and presents qualified healthcare professionals (“Candidates”) for the Client’s permanent openings. The Client interviews and selects Candidates and makes the final hiring decision.

When the Client hires a Candidate, that Candidate becomes the Client’s employee. The Client is solely responsible for payroll, taxes, benefits, scheduling, supervision, onboarding, employment policies, and all other terms of employment after hire. OHC is a recruiting partner, not the employer of record.

Placement fees & pricing

OHC charges a placement fee for each Candidate the Client hires. Fees are based on the role, level of difficulty, and type of hire. Caregiver-level roles are typically a flat placement fee; licensed and leadership roles are typically a percentage of first-year compensation.

OHC will review and confirm the applicable fee with the Client in writing before beginning any search. The specific fee, fee structure, and any engagement terms are set out in the Client’s placement agreement, which controls in the event of any conflict with these terms.

  • Contingency placement — the fee is due only if the Client hires an OHC-presented Candidate.
  • Engaged search — a modest upfront engagement fee starts the search, with the balance due on hire.
  • Retained search — reserved for executive and specialized leadership roles, billed in installments by agreement.

Payment terms

Placement fees are earned and payable as follows:

  • Payment is due upon the Candidate’s start date.
  • Invoices are issued Net 7 or Net 10 as stated in the placement agreement.
  • Late balances may accrue reasonable interest and suspend any active guarantee until paid in full.

Engagement types

OHC offers contingency, engaged, and retained search. Contingency is the default and carries no upfront cost — the Client pays only on a successful hire. Engaged search applies a small upfront fee for harder-to-fill roles, with the balance due on hire. Retained search is used for executive, Director of Nursing, and specialized clinical leadership roles and is billed in installments regardless of outcome, by separate agreement.

The engagement type for each search is agreed in writing before work begins.

Candidate ownership

A Candidate is considered “OHC-presented” once OHC submits that Candidate’s information or resume to the Client, or arranges an interview, in connection with a role.

A placement fee is owed if the Client — or any affiliated entity, parent, subsidiary, or commonly managed location of the Client — hires, engages, or otherwise retains an OHC-presented Candidate within twelve (12) months of that Candidate first being presented, whether for the original role or a different one. This applies whether the hire results directly from OHC’s introduction or from a later contact by the Client.

Replacement guarantee

For eligible direct hire placements, OHC provides a 60-day replacement guarantee. If a placed Candidate leaves or is terminated for performance reasons within 60 days of their start date, OHC will conduct a one-time replacement search for the same role at no additional placement fee, provided the Client’s account is in good standing and all invoices are paid.

The guarantee provides a replacement only — not a refund (see Section 7). The guarantee is voided if:

  • The Client materially changes the role, compensation, location, or schedule after hire.
  • The Candidate is mistreated, subjected to an unsafe or hostile environment, or laid off.
  • The Candidate is terminated for reasons unrelated to their performance.
  • Any placement fee or invoice for the Client remains unpaid.

Refunds

Placement fees are non-refundable. OHC’s remedy for an eligible early departure is the replacement search described in Section 6, not a refund of fees paid.

Client responsibilities

To keep placements successful and the guarantee in effect, the Client agrees to:

  • Provide accurate role, compensation, schedule, and credential requirements.
  • Treat Candidates professionally and maintain a safe, respectful work environment.
  • Conduct its own final verification, references, and compliance checks as required for the role and setting.
  • Notify OHC promptly of any hire, offer, or early departure involving an OHC-presented Candidate.

General terms

OHC presents Candidates in good faith based on information available at the time. The Client is responsible for its own hiring decisions and for ensuring each hire meets the licensing, credentialing, and regulatory requirements of its setting. To the extent permitted by law, OHC’s total liability arising from any placement is limited to the placement fee paid for that placement.

These terms may be updated from time to time; the version in effect on the date of your placement agreement applies to that engagement. These terms are a general framework, are not legal advice, and do not replace your signed placement agreement.
